Welcome to the website of Private Plug Foundation (“Foundation,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, content, donation tools, event pages, newsletters, and related services (collectively, the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1) Who We Are
Private Plug Foundation is a nonprofit corporation organized in the State of Illinois and recognized as tax-exempt under IRC §501(c)(3) (EIN: 39-5075597). Our mission is to empower the next generation of women leaders through programs, convenings, and thought leadership.

The Foundation is the philanthropic arm of The Private Plug™ ecosystem; however, the Foundation is a separate legal entity and governs this Site.
2) Eligibility & Acceptable Use
You must be at least 13 years old to use the Site (or older if required by your local laws). By using the Site, you agree not to:

Violate any law, third-party right, or these Terms

Upload or transmit malware, spam, or automated scraping/crawling without our written consent

Misrepresent your identity or affiliation

Interfere with Site security, availability, or performance

Use the Site for commercial advertising, fundraising for other causes, or political campaigning without our written permission
We may suspend or terminate access for any violation.
3) Ownership of the Site & Content
All content on the Site—including text, graphics, logos, photographs, videos, audio, designs, and trademarks (collectively, “Foundation Content”)—is owned by or licensed to the Foundation and protected by U.S. and international laws. Except as expressly permitted, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit Foundation Content without our prior written permission.
You may download or print reasonable copies of publicly available pages for noncommercial, personal, or educational use only, provided you keep all proprietary notices intact.
4) Trademarks
The Private Plug™, Private Plug Foundation™, related logos, marks, and trade dress are trademarks or service marks of the Foundation or its affiliates. Any other marks are the property of their respective owners. No license is granted by implication, estoppel, or otherwise.
5) User Submissions & Photo/Video Releases
If you post, upload, tag, email, or otherwise submit content to us or the Site (e.g., testimonials, photos from events, social media posts using our hashtags) (“User Content”), you grant the Foundation a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, and display such User Content in any media for charitable, educational, and promotional purposes.
You represent and warrant that you own or control all rights in your User Content, that it does not infringe others’ rights, and that you have permission from any identifiable persons in it. We may, but are not obligated to, monitor, remove, or edit User Content at our discretion.
Event Photography Notice. Our events may be photographed, filmed, or recorded. By attending, you consent to the capture and use of your likeness, voice, and statements by the Foundation for the purposes described above without compensation or further permission, to the extent permitted by law. If you have concerns, please contact us before the event.
6) Donations; General
When you make a donation, you agree that:
(a) you are authorized to use the payment method provided;
(b) the information you provide is accurate; and
(c) your donation is intended for the Foundation’s charitable purposes.
Unless required by law, donations are non-refundable. If you believe a mistake occurred (e.g., duplicate charge or wrong amount), please contact us at info@privateplugfoundation.org within 30 days.
7) Tax Receipts
The Foundation will issue a tax receipt for eligible donations to the extent allowed by U.S. law. Tax deductibility varies by jurisdiction. Consult your tax advisor regarding deductibility. We may require your email and postal address to provide receipts.
8) Recurring Donations; Changes & Cancellations
If you enroll in recurring donations, you authorize the Foundation to automatically charge the payment method on the schedule you select until you cancel. You may cancel or change your recurring donation at any time with reasonable notice before the next charge by contacting [donations@privateplugfoundation.org] or via any self-service tools we provide. Failed payments may be retried automatically.
9) Events, Tickets, & Refunds
Event availability, speakers, and programming are subject to change. Unless otherwise stated at purchase, ticket sales and sponsorships are final and non-refundable. If an event is canceled or materially rescheduled, we will provide options consistent with applicable laws and the policy stated on the event checkout page.
For safety and experience, we may set codes of conduct for attendees; violations may result in removal without refund.
10) Communications; Email & SMS Terms
By providing your email or phone number, you consent to receive communications from us (e.g., receipts, updates, program information, event reminders, fundraising appeals).

SMS/Text: Message and data rates may apply. Message frequency varies. Text STOP to opt out; text HELP for help. Carriers are not liable for delayed or undelivered messages. Consent is not a condition of any donation or purchase.
11) Privacy
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and share information. Please review it carefully. If you access the Site from the EU/EEA/UK or other regions with data laws, you acknowledge that we may process your information in the United States and elsewhere.
12) Educational Content; No Professional Advice
Materials on the Site are for general informational and educational purposes only and do not constitute legal, tax, financial, medical, or other professional advice. You should consult a qualified professional regarding your specific circumstances.
13) Disclaimers; Limitation of Liability
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE FOUNDATION AND ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow certain limitations; some of the above may not apply to you.
14) Indemnification
You agree to defend, indemnify, and hold harmless the Foundation and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your breach of these Terms or your misuse of the Site.
15) Third-Party Links & Tools
The Site may link to or integrate with third-party websites, platforms, or payment processors (e.g., donation providers, ticketing, social media). We are not responsible for third-party content, policies, or practices. Your use of third parties is at your own risk and governed by their terms and policies.
16) Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of [Illinois], without regard to conflict-of-law rules.
Informal Resolution. Before filing a claim, you agree to contact us at [legal@privateplugfoundation.org] to attempt to resolve the dispute informally within 30 days.
Arbitration; Class Waiver (U.S. users). Except for claims for injunctive relief or small-claims matters, any dispute arising from or relating to these Terms or the Site shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules in [Chicago, Illinois], before a single arbitrator. You and the Foundation waive any right to participate in a class action or class-wide arbitration. You may opt out of arbitration within 30 days of first accepting these Terms by emailing [legal@privateplugfoundation.org] with subject “Arbitration Opt-Out” and your full name.
17) Changes to the Site or Terms
We may update the Site and these Terms from time to time. If we make material changes, we will post the updated Terms with a new “Last Updated” date. Your continued use of the Site after changes become effective constitutes acceptance.
18) Accessibility
We aim to make our Site accessible and inclusive. If you experience difficulty accessing content or wish to request an accommodation, please contact [accessibility@privateplugfoundation.org] and describe the specific issue.
19) DMCA & IP Concerns
If you believe content on the Site infringes your copyright, please send a notice to [ip@privateplugfoundation.org]with: (a) your contact info; (b) identification of the work and allegedly infringing material; (c) a statement of good-faith belief; (d) a statement under penalty of perjury of accuracy and authority; and (e) your physical or electronic signature. We may remove content at our discretion.
20) Volunteering & Submissions
If you apply to volunteer, mentor, speak, or otherwise participate, you agree that any ideas or proposals you submit may be used by the Foundation without obligation to you, and that participation may be subject to additional guidelines, background checks, or agreements.
21) Termination
We may suspend or terminate your access to all or part of the Site at any time, with or without notice, for any reason or no reason. Upon termination, Sections 3–5 and 12–21 will survive.
